The directors manage or supervise the managment of the business and affairs of the company. The board of directors of a company must consist of at least one individual and each director must be at least 18 years of age.

The names and addresses of the directors of the company are public, corporate information and will be published on government websites. If a director wants to maintain their residential address private, the company's address can be used for serving documents.

The articles of incorporation may set out a fixed number of directors e.g., 1, 2 or 3 or a minimum and maximum number (range of say 3 – 5) of directors. If for example, a fixed number of 4 is indicated, then the names and addresses for 4 directors must be added. If, however a range is indicated, say 3 – 5, then the names and addresses of at least 3 directors must be added, 4 can also be added but no more than 5 must be added. It is recommended that a range be selected to avoid the costs of frequent revisions of the articles when a fixed number is selected, which becomes outdated as directors are added or retire. At least 25% of the directors should be Canadian resident.
